We are currently seeking a Contract Specialist who will assist in reviewing agreements or proposed agreements, including real estate leases, for conformity to company policies and risk management guidelines by performing the following duties.

Duties and Responsibilities:
Conducts Review of Company Contracts

  • Performs initial review of proposed contracts and agreements as requested by manager
  • Ensures assigned contracts are reviewed in conformance to company’s contract review policy and risk management
guidelines

  • Analyzes assigned contracts and notifies responsible department head and contract signer of risks, ambiguities,
inaccurate statements, omissions of essential terms, and conflicts with law

  • ! Recommends contract modifications of assigned contracts
  • Researches contract issues of assigned contracts
  • Ensures appropriate external legal counsel (examples: IP, ERISA, labor law) review of contracts or excerpts of contracts
as needed

  • Reviews attorney work product and requests needed revisions
  • Converts assigned business agreements into contract form and prepares amended agreements for approval by legal
counsel

  • Advises senior management if proposed contracts and agreements fail to conform to the company’s risk management
guidelines or corporate policies

  • Assists in creation of standard form contracts and initiates changes in standard form contracts as requested by the
manager

  • As directed by the manager, reviews correspondence concerning contracts and responds as necessary
Assists in maintaining master files of executed contracts and leases

  • Scans executed contracts ! and leases
  • Maintains spreadsheet of CSD distributor agreements and status of distributor’s insurance coverage
  • Inputs data into contract software database, including email notification regarding contract adjustments and renewals
Assists in review and management of Company Real Estate Lease Obligations

  • Assists in reviewing real estate leases
  • Prepares lease payment memos for Accounts Payable Department regarding rent and CAM
  • Reviews yearly CAM reconciliations for conformance with lease terms
  • Drafts correspondence to landlords regarding payment and landlord/tenant issues
  • Assists manager with management of real estate related payments including maintaining monthly spreadsheet of
lease payments of rent and CAM for use by Accounts Payable Department in processing payments and conducting

review of annual CAM charges

Supports acquisition team as directed by manager
  • Reviews document drafts
  • Monitors lien searches
  • Maintains spreadsheet of future acquisition payments
  • Drafts letters to sellers transmitting required payments
Qualifications:
  • High school diploma or GED; minimum of 2 years of college in a related field, with a college or university degree
preferred; paralegal certificate from accredited paralegal program required; and 7 or more years related experience

and/or training in the review of contracts and leases.

  • Advanced in Microsoft Office software (Word, Outlook, Excel, PowerPoint).
  • Knowledge of SAP a plus
  • Valid driver’s license. Louisiana Notary Public designation preferred
  • Limited travel involved
